1. Introduction

This User Compliance Agreement (“Agreement”) is made between Fulfillbot (“we”, “our”, “us”) and the user (“you”, “your”).
By accessing or using Fulfillbot’s sourcing, quality inspection, storage, warehousing, fulfillment, or shipping services (“Services”), you acknowledge that you have read, understood, and agreed to comply with this Agreement.

Fulfillbot provides service-based operational support only.
We are not the seller of goods, nor the manufacturer, brand owner, distributor, or importer of record for the products you choose to purchase, store, or ship through our platform.

You, as the user, retain full responsibility for the legality, authenticity, origin, and compliance of all products handled through Fulfillbot.

2. User Responsibilities

2.1 Product Legality

You are solely responsible for ensuring that all products purchased, stored, or shipped through Fulfillbot:

• Are legal for sale in your country/region

• Do not violate import/export restrictions

• Do not infringe any intellectual property rights

• Comply with the laws and regulations of both origin and destination countries

Fulfillbot does not provide legal evaluation of products, nor do we participate in your product selection, listing, marketing, or sales decisions.

2.2 Authenticity of Products

You agree that:

• All products must be authentic and legally obtained

• You may be required to provide invoices, authorization letters, licenses, or certificates to prove authenticity

• Fulfillbot reserves the right to decline processing products that appear counterfeit, infringing, restricted, or non-compliant

Submitting false, altered, or misleading documents is strictly prohibited and may result in account suspension.

2.3 Compliance With Platform Rules

If you sell products on third-party platforms (e.g., Amazon, Shopify, eBay, Etsy, TikTok, Walmart, etc.), you are responsible for complying with their policies.

Fulfillbot does not verify or guarantee:

• Listing compliance

• Brand authorization

• Customs documentation

• Platform acceptance or seller approval

2.4 Import & Export Responsibility

You acknowledge that:

• You are the importer/exporter of record for your shipments

• Fulfillbot does not act as importer/exporter of record

• You are responsible for local taxes, duties, restrictions, and customs documentation

Any customs delays, seizures, fines, or confiscations related to the nature of your products are your sole responsibility.

3. Prohibited Items

You must not use Fulfillbot’s Services to handle any of the following:

• Counterfeit, fake, or replica products

• Unauthorized branded items

• Items infringing trademarks, copyrights, or patents

• Dangerous goods prohibited by carriers

• Illegal or regulated items restricted by local customs

• Products that violate public safety, moral standards, or regulatory guidelines

Fulfillbot may refuse, suspend, or destroy such items without compensation.

4. High-Risk Products

Fulfillbot may classify certain items as High-Risk, including but not limited to:

• IP-sensitive branded products

• Unauthorized replicas

• Products with unclear sourcing

• Items flagged by customs or platforms

• Products commonly associated with rights-holder complaints

For such items, Fulfillbot may:

• Request additional documentation

• Delay or decline fulfillment

• Apply extra inspection procedures

• Require written confirmation of your legal rights to sell or distribute the product

5. Account Suspension & Penalties

Fulfillbot may suspend or terminate your account if we determine that:

• You handle counterfeit or infringing products

• You violate import/export regulations

• You provide falsified documents or misleading information

• You misuse the Fulfillbot platform for illegal activities

• You fail to comply with this Agreement

Consequences may include:

• Order cancellation

• Inventory disposal

• Funds being withheld

• Denial of access to Fulfillbot services

• Reporting to rights holders, carriers, or legal authorities

6. Inventory Disposal Policy

Fulfillbot reserves the right to dispose of or refuse to store products that:

• Are illegal, counterfeit, or infringing

• Are abandoned or unclaimed

• Are prohibited by carriers or customs

• Present safety or compliance risks

Disposal fees may apply. No compensation will be issued for destroyed, rejected, or seized items.

7. Fulfillbot Liability Limitation

You acknowledge and agree that:

1. Fulfillbot ist ein service provider, not a seller of goods

2. You are fully responsible for your product sourcing and sales activities

3. Fulfillbot does not guarantee:

   • Platform compliance

   • Customs clearance

   • Legal validity of products

   • Market approval or brand authorization

4. Fulfillbot shall not be liable for:

   • Seizures by customs

   • Complaints by rights holders

   • Platform account suspensions

   • Damages resulting from illegal or non-compliant products

Your use of our Services is entirely at your own risk.

8. Cooperation With Rights Holders & Authorities

Fulfillbot complies with all legal requests and may:

• Cooperate with law enforcement

• Provide information required by authorities

• Work with rights holders to investigate IP violations

• Suspend any activity suspected of illegal behavior

9. Reporting & Dispute Resolution

If you suspect non-compliant activity or receive notice from rights holders, customs, or sales platforms, you must notify Fulfillbot immediately.

10. Acceptance of the Agreement

By using Fulfillbot’s Services, you agree that:

• You have read and accepted this Agreement

• You understand your legal responsibilities

• You accept the consequences of non-compliance

• You acknowledge Fulfillbot’s right to enforce this Agreement

Continuing to use the platform constitutes ongoing acceptance of updates to this Agreement.
