1. Applicability<\/strong><\/h2>

The terms and conditions of these Terms of Service govern the services provided by CHINIFY TRADING CO., LTD<\/strong> (\u201cwe\u201d, \u201cus\u201d, \u201cour\u201d) to the Client (\u201cyou\u201d, \u201cyour\u201d).<\/p>

These Terms of Service should be read together with any Statement of Work entered into between us and the Client.<\/p>

Each Statement of Work and these Terms of Service (collectively, the \u201cAgreement\u201d) comprise the entire agreement between the parties and supersede all prior understandings, negotiations, representations or communications.<\/p>

If any conflict appears between these Terms of Service and a Statement of Work, the Statement of Work shall prevail.<\/p>

Capitalized terms not otherwise defined herein shall have the meaning assigned in the Statement of Work.<\/p>

2. Our Services<\/strong><\/h2>

We shall provide the services described in the applicable Statement of Work (\u201cServices\u201d) with reasonable skill and care.<\/p>

We may engage third-party carriers, couriers, brokers, agents, or service providers (\u201cThird Parties\u201d) to support service performance.
You consent to such outsourcing, including the transfer of personal data where necessary.<\/p>

We are not liable<\/strong> for errors or negligence committed by Third Parties.<\/p>

2A. Purchasing Agent Services<\/strong><\/h3>

In addition to fulfillment and logistics services, FulfillBot provides purchasing agent services<\/strong> on behalf of its users. By using our platform and submitting a purchase request, you (“the Client”) expressly authorize CHINIFY TRADING CO., LTD to act as your agent to:<\/p>

  1. Search, browse, and select products from third-party Chinese e-commerce platforms on your behalf, including but not limited to Taobao (\u6dd8\u5b9d), Tmall (\u5929\u732b), 1688, Weidian (\u5fae\u5e97), and Pinduoduo (\u62fc\u591a\u591a)<\/strong>;<\/li>
  2. Place orders and make payments to third-party sellers using funds deposited or pre-authorized by you;<\/li>
  3. Receive, inspect, consolidate, and warehouse goods purchased on your behalf within China;<\/li>
  4. Arrange international shipping from our warehouses to your designated delivery address;<\/li>
  5. Charge service fees for purchasing agency, quality inspection, warehousing, repackaging, and international fulfillment.<\/li><\/ol>

    Nature of the Agency Relationship:<\/strong> FulfillBot acts solely as your commissioned purchasing agent. All purchases are made at your direction, on your behalf, and with funds you have authorized. FulfillBot does not purchase goods speculatively for resale. Title to purchased goods passes directly from the third-party seller to you; FulfillBot holds goods temporarily as your bailee for the purpose of consolidation and international dispatch.<\/p>

    No Affiliation with Third-Party Platforms:<\/strong> FulfillBot is not affiliated with, endorsed by, sponsored by, or officially partnered with Taobao, Tmall, Alibaba Group, 1688.com, Weidian, Pinduoduo, or any other third-party platform. These are independent platforms. FulfillBot accesses these platforms as a consumer agent acting on behalf of its clients, in the same capacity as any individual buyer, and charges its clients for this agency service under the terms of this Agreement.<\/p>

    Client Responsibility:<\/strong> You are responsible for ensuring that the goods you instruct us to purchase comply with all applicable import regulations, customs requirements, and laws of your destination country. FulfillBot is not liable for goods that are seized, delayed, or refused at customs due to the nature of the products or inaccurate declarations provided by you.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

    3. Client Obligations<\/strong><\/h2>

    (a) Cooperation<\/strong><\/h3>

    The Client must provide complete and accurate information, materials, and instructions required for service execution.<\/p>

    (b) Timely Response<\/strong><\/h3>

    The Client shall respond promptly to any request for instructions, approvals, or information.<\/p>

    (c) Compliance<\/strong><\/h3>

    The Client shall obtain necessary licences and comply with all applicable laws.<\/p>

    4. Rate Cards and Cost Simulation<\/strong><\/h2>

    (a) Non-binding Estimates<\/strong><\/h3>

    Rate cards and cost simulations are informational only<\/strong> and may change without notice.<\/p>

    (b) Final Adjustments<\/strong><\/h3>

    Final billing may differ from simulations due to:<\/p>

    • courier adjustments<\/p><\/li>

    • customs charges<\/p><\/li>

    • inaccurate data<\/p><\/li>

    • returns<\/p><\/li>

    • additional services<\/p><\/li><\/ul>

      The Client is responsible for all additional Third-Party fees.<\/p>

      5. Fulfillment Integration System<\/strong><\/h2>

      (a) Updates<\/strong><\/h3>

      The system may be modified without prior notice. Continued use indicates acceptance.<\/p>

      (b) Administrators<\/strong><\/h3>

      The Client is fully responsible for:<\/p>

      • selection of administrators<\/p><\/li>

      • password confidentiality<\/p><\/li>

      • access permissions<\/p><\/li><\/ul>

        We are not liable for administrator actions.<\/p>

        (c) Legal Compliance<\/strong><\/h3>

        The Client must ensure system use complies with applicable laws.<\/p>

        6. Inbound Goods & Receiving Policy<\/strong><\/h2>

        • Client must arrange inbound shipping and cover all related costs.<\/p><\/li>

        • Goods must be properly labeled and packaged.<\/p><\/li>

        • We are not liable for quantity or condition discrepancies on arrival.<\/p><\/li>

        • Non-compliant shipments may be refused, returned, or disposed of at the Client\u2019s cost.<\/p><\/li><\/ul>

          7. Labeling & Orders Policy<\/strong><\/h2>

          • The Client must submit accurate orders within required timelines.<\/p><\/li>

          • Amendments after approval or cut-off time may not be processed.<\/p><\/li>

          • Proper barcode labeling is required at carton and unit level.<\/p><\/li>

          • Processing times may vary in peak seasons or severe weather.<\/p><\/li><\/ul>

            8. Couriers & Shipping Policy<\/strong><\/h2>

            We are not liable for:<\/p>

            • courier delays<\/p><\/li>

            • failed deliveries<\/p><\/li>

            • customs delays<\/p><\/li>

            • lost tracking<\/p><\/li>

            • damaged goods caused by Third Parties<\/p><\/li><\/ul>

              POD (Proof of Delivery) may be requested after standard transit periods.<\/p>

              9. Duties, Taxes, & Clearance Fees<\/strong><\/h2>

              The Client is responsible for:<\/p>

              • all duties<\/p><\/li>

              • taxes<\/p><\/li>

              • clearance fees<\/p><\/li>

              • DDP administrative charges (if applicable)<\/p><\/li><\/ul>

                We do not provide credit terms for these amounts.<\/p>

                10. Storage & Inventory Policy<\/strong><\/h2>

                • Goods stored with us are not covered by insurance<\/strong>.<\/p><\/li>

                • A 5% annual shrinkage allowance applies.<\/p><\/li>

                • Title to goods remains with the Client.<\/p><\/li>

                • Goods may be moved to other warehouses with 30 days\u2019 notice.<\/p><\/li>

                • Unclaimed goods may be disposed of after notice.<\/p><\/li><\/ul>

                  11. Fees & Payment Terms<\/strong><\/h2>

                  • A valid credit card is required for registration.<\/p><\/li>

                  • Invoices must be paid within 7 business days<\/strong>.<\/p><\/li>

                  • Late payments incur 1% monthly interest<\/strong>.<\/p><\/li>

                  • We may require payment before releasing goods.<\/p><\/li>

                  • Prices may change with 30 days\u2019 notice.<\/p><\/li><\/ul>

                    12. Lien Rights<\/strong><\/h2>

                    We retain a lien over Client Goods until all invoices are paid in full.
                    Goods may be sold after 30 days\u2019 unpaid balance.<\/p>

                    13. Termination<\/strong><\/h2>

                    We may terminate immediately if the Client:<\/p>

                    • fails to pay<\/p><\/li>

                    • breaches the Agreement<\/p><\/li>

                    • becomes insolvent<\/p><\/li><\/ul>

                      Either party may terminate with 30 days\u2019 written notice<\/strong>.<\/p>

                      14. Intellectual Property<\/strong><\/h2>

                      • We retain IP rights in all our systems, software, and materials.<\/p><\/li>

                      • The Client retains IP rights in their goods and data.<\/p><\/li>

                      • The Client consents to having its brand referenced in our marketing.<\/p><\/li><\/ul>

                        15. Confidentiality<\/strong><\/h2>

                        Both parties must keep confidential information secure and only disclose when legally required.<\/p>

                        16. Limitation of Liability<\/strong><\/h2>

                        We are not liable<\/strong> for:<\/p>

                        • losses caused by Third Parties<\/p><\/li>

                        • indirect or consequential losses<\/p><\/li>

                        • loss of sales, profits, business, or goodwill<\/p><\/li><\/ul>

                          Our maximum liability is limited to:<\/p>

                          the lower of (a) the actual value of the goods, or (b) the service fees paid.<\/strong><\/p>

                          17. Indemnity<\/strong><\/h2>

                          The Client agrees to indemnify CHINIFY TRADING CO., LTD for claims arising from misuse of services or breach of agreement.<\/p>

                          18. Force Majeure<\/strong><\/h2>

                          Neither party is liable for delays caused by events beyond reasonable control.<\/p>

                          If such delays exceed 1 month, either party may terminate with 14 days\u2019 notice.<\/p>

                          19. Severability<\/strong><\/h2>

                          Invalid provisions do not affect the remaining terms.<\/p>

                          20. Counterparts<\/strong><\/h2>

                          The Agreement may be executed in multiple counterparts.<\/p>

                          21. Waiver<\/strong><\/h2>

                          Failure to enforce any provision does not constitute a waiver.<\/p>

                          22. Amendments<\/strong><\/h2>

                          We may update these Terms with 14 days\u2019 notice.<\/p>

                          23. Notices<\/strong><\/h2>

                          Notices will be delivered via email to the Client\u2019s registered address.<\/p>

                          24. Disputes<\/strong><\/h2>

                          The parties must first attempt negotiation and mediation.<\/p>

                          Jurisdiction (Updated to UK)<\/strong><\/h3>

                          All legal proceedings shall be submitted to the exclusive jurisdiction of the courts of England and Wales<\/strong>.<\/p>

                          25. Arbitration (Optional Clause)<\/strong><\/h2>

                          If mutually agreed, arbitration shall follow a UK-based arbitration framework.<\/p>

                          26. Governing Law (Updated to UK)<\/strong><\/h2>
